RIBA Singapore Chapter Extra General Meeting (EGM) - Friday 2 December 2022

RIBA members in Singapore are invited to attend the forthcoming RIBA Singapore Chapter EGM on Monday 28 September 2020, from 7.30pm to 8.30pm (SGT).

The purpose of the RIBA Singapore Chapter EGM is to consider and approve the following resolutions:

Routine business

  1. Minutes of the last Annual General Meeting (AGM) held on 27 September 2022
  2. Consider and approve the General Statement by Management Committee from March 2022 to December 2022
  3. Management accounts up to 31 October (with provisional update to December 2022

Special business

  1. Consider and approve the dissolution of RIBA Singapore Chapter as a society to take effect on 15 December 2022
  2. Consider and approve the termination of the License Agreement dated 6 June 2018 entered between the RIBA and RIBA Singapore Chapter with effect from 15 December 2022

  1. Proposed new RIBA entity in Singapore:
    The new entity will be a limited company to deliver trading activities in Singapore and wider ASEAN countries. Activities will be low level in the short term. Type of activities include:
    • professional training courses
    • exhibition conferences/forums
    • talks
    • work with local stakeholders including government agencies, particularly important with the emergence of CPTPP
  2. Once the society is dissolved, the assets of the society will transfer back to the RIBA and will be added to the budget available for the new chapter to access via an application for LIF Funding
  3. The new entity will enter into an MOU with RIBA and the Chapter Committee will simply transfer to RIBA new legal vehicle as a ‘committee’ of that entity with same committee structure as per Register of Society (ROS) constitution which will:
    • enable volunteer group (also known as Singapore Chapter) to deliver free local activities for RIBA Members and wider built environment professionals
    • enable the chapter to apply for the Local Initiative Fund (currently Singapore Chapter is not eligible for LIF funding) and use RIBA branding under licence

Voting process

To vote for the dissolution of RIBA Singapore Chapter as a society, members may vote by proxy if they are unable to attend the EGM.

NB. In order for the dissolution of the society to be passed, not less than three-fifths (3/5) of the total voting membership of RIBA SG Chapter will be required.

  1. For the proxy vote please send the form to:
    FAO: Eric Ng, Malkin & Maxwell LLP, 2 Havelock Road, #06-05, The Hall at Havelock II, Singapore 059763 or email to eric@malkin-maxwell.com, no later than five hours (by 2.30pm SGT) prior to the EGM on 2 December 2022.
  2. For those who can attend the EGM, a member may cast his/her votes on the proposed resolutions by a show of hands at the virtual meeting via Microsoft Teams

  • second segment (10 mins) - vote for and appoint new auditors
  • third segment (10 min)- Singapore members vote for dissolution of the Singapore chapter as a 'society'

In order to comply with the requirement of the Register of Societies, the Singapore Chapter via RIBA has to verify the list of current members of the chapter to the registrar on an annual basis.
