RIBA Local Initiative Funding: Terms and Conditions for grant awards 2024

This document sets out our Terms and Conditions relating to our offer of LIF grant funding.

References to ‘you’ and ‘your’ are references to the applicant for funding.

References to ‘we’, ’our’ and “us” are references to the Royal Institute of British Architects (RIBA).

The RIBA has been established for the Advancement of Architecture and the promotion of the acquiring of knowledge of the Arts and Sciences connected therewith (RIBA’s Objects).

1. Purpose

1.1 You will be notified of our decision by email from your usual RIBA contact (Outcome Email) which will include a link to these terms and conditions.

1.2 The purpose of the grant is to fund the activities listed in the Outcome Email (the “Agreed Activities”).

1.3 The grant shall not be used for any purpose other than the Agreed Activities.

1.4 The grant may not be used for activities that do not further the RIBA’s Objects.

2. Amount of Grant

2.1 The total amount of grant which we propose to pay (subject to acceptance of these conditions) is set out in the Outcome Email.

3. Payment

3.1 Subject to clause 3.1 below, the grant will be paid in the payment run following receipt of your email acceptance of these terms and conditions which must also include the following documents:

(a) copy risk assessment (Microsoft Word download) for each of the Agreed Activities

(b) evidence of or request for insurance cover for each of the Agreed Activities and

(c) confirmation of the person who is accountable for the safe and compliant running of the Agreed Activities (the Responsible Person). If no name is provided, the Branch/Chapter/Group chair shall be deemed to be the Responsible Person.

3.2 In the event that we have agreed to make payment directly to a third party (on behalf of the Group/Branch or Chapter awarded) we will make that payment in the payment run following receipt of a validated invoice.

4. Accounts and Reports

4.1 Where payment is made to a Branch or Chapter account, you shall show the grant in your accounts as a restricted fund unless the grant is provided on an unrestricted basis, in which case it may be included under general funds.

4.2 You shall keep accurate accounts and records of the receipt and expenditure of the grant money received and, if requested, provide us with copies of your annual accounts and allow us to inspect your accounting records in relation to the grant.

4.3 You shall, on request, provide us with such information, explanations, documents and reports as we may reasonably require in order to establish that the grant has been used only for the Agreed Activities.

5. Acknowledgement of grant

5.1 You shall acknowledge the grant in your annual report and accounts, including an acknowledgement of the RIBA as the source of the grant.

5.2 We may refer to this grant and the Agreed Activities to be supported by the grant.

5.3 You shall comply with all reasonable requests from us to facilitate visits, provide reports, statistics, photographs and case studies that will assist us in learning and other activities relating to the grant and the Agreed Activities.

6. Withholding or return of grant

6.1 We may, in our sole discretion, require the return of some or all of the grant monies or, where the grant is paid in instalments, withhold or suspend payment of the grant monies, and/or declare this agreement terminated if:

a) You do not comply in all material respects with these conditions

b) In our reasonable opinion, you bring, or are likely to bring us into disrepute in any way;

c) The grant has not been used for the Agreed Activities;

d) You provide us with any materially misleading or inaccurate information;

e) The grant, of any part of the grant, has been used for any activity outside of the RIBA’s Objects.

f) The grant has not been used by the second anniversary of the Payment Date.

g) You cease to operate for any reason or pass a resolution (or any court of competent jurisdiction makes an order) that you are wound up or dissolved (other than for the purpose of a bona fide and solvent reconstruction or amalgamation); or

h) You become insolvent, or are declared bankrupt, or are placed into receivership, administration or liquidation, or a petition has been presented for your winding up, or you enter into any arrangement or composition for the benefit of your creditors, or are unable to pay your debts as they fall due.

6.2 If the grant is being paid to you in instalments, you agree to notify us as soon as possible if there is any material change in your financial circumstances. In such circumstances, we reserve the right, in our sole discretion, to withhold further instalments.

7. Marketing your programme or event

7.1 You shall acknowledge the support of the RIBA as a funder of activities.

You will also acknowledge the RIBA in any written or spoken public presentations about the Agreed Activities. Such acknowledgements shall be in accordance with any guidelines provided by us from time to time.

7.2 You will use the RIBA logo in accordance with our brand guidelines in any materials or promotional activity including Social Media posts that refer to the Agreed Activities.

8. Acceptance of these terms

Please reply to the Outcome Email with confirmation that you accept these terms and conditions and in your reply include the information required in clause 3.1.

By replying you will be confirming that you have authority to agree these terms and are accepting them on behalf of the group which made the application.
